Terms of Use

Your use of the Platform and performance of any inspection work through it does not create an employment, agency, joint venture, or partnership relationship between you and Beagle. You are an independent contractor. You are solely responsible for:

• Determining the manner and means by which you complete inspection work, subject to Beagle's quality standards and any client-specific instructions;
• Reporting and paying all applicable federal, state, and local taxes on compensation you receive, including self-employment taxes;
• Maintaining any insurance coverage appropriate for your inspection activities; and
• Complying with all laws and regulations applicable to your work as an independent contractor in your jurisdiction.

Nothing in these Terms or on the Platform should be construed to create an employment relationship or to grant you benefits available only to Beagle employees.

Beagle may offer inspection assignments, batch opportunities, and related workflows through the Platform. The availability of assignments depends on your geographic coverage area, licensing and certification status, quality history, and partner requirements. Accepting an assignment through the Platform constitutes your agreement to complete that work in accordance with:

• These Terms;
• Any instructions or standards provided for the specific assignment;
• Applicable federal, state, and local law; and
• Beagle's quality guidelines as communicated through the Platform.

Beagle does not guarantee the availability of any minimum number of assignments and may modify, reassign, or cancel assignments at its discretion.

You retain ownership of the inspection photos, notes, field data, and other original content you submit through the Platform ("Submissions"). By submitting content, you grant Beagle a worldwide, royalty-free, sublicensable license to use, store, reproduce, process, and distribute your Submissions as necessary to:

• Operate and improve the Platform;
• Deliver completed inspection reports and related data to the property owners, clients, or insurance partners who commissioned the inspection; and
• Conduct quality review and fulfill our contractual obligations.

This license survives termination of your account with respect to Submissions incorporated into completed inspection reports already delivered to clients. You represent and warrant that your Submissions are accurate to the best of your knowledge, are your original work or work you are authorized to submit, and do not violate any third-party rights or applicable law.

In the course of using the Platform, you may receive or have access to non-public information about properties, property owners, clients, insurance matters, and Beagle business operations ("Confidential Information"). You agree to:

• Keep Confidential Information strictly confidential and not disclose it to any third party without Beagle's prior written consent;
• Use Confidential Information only as necessary to complete your assigned inspection work; and
• Notify Beagle promptly at operations@beaglelabs.ai if you become aware of any unauthorized disclosure.

These confidentiality obligations survive termination of your account. They do not apply to information that is or becomes publicly available through no fault of your own, or that you are required to disclose by law.

Compensation for completed inspection work, where applicable, is communicated through the Platform or related payment workflows. Payments are processed through Stripe, Inc. ("Stripe"), a third-party payment processor. By receiving payments through the Platform, you agree to Stripe's Connected Account Agreement. Beagle is not responsible for errors, delays, or failures in payment processing caused by Stripe or your financial institution.

You are solely responsible for reporting and paying all taxes on compensation you receive through the Platform, including any amounts reported on IRS Form 1099. Beagle may update payout processes, minimum thresholds, or documentation requirements from time to time with reasonable notice.

You agree not to:

• Submit false, inaccurate, or fraudulent inspection data, photos, or information;
• Access or attempt to access accounts, data, or systems you are not authorized to use;
• Interfere with or disrupt the Platform, its servers, or any connected networks;
• Upload or transmit malicious code, viruses, or harmful software;
• Use the Platform or any Confidential Information obtained through it for purposes other than completing your assigned inspection work;
• Misrepresent your identity, qualifications, or licensing status; or
• Use Beagle systems in violation of applicable law or any partner or client requirements.

You agree to defend, indemnify, and hold harmless Beagle Innovations, Inc. and its officers, directors, employees, agents, and partners from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Platform;
• Your performance of inspection services;
• Your breach of these Terms;
• Any inaccurate, fraudulent, or unauthorized Submissions; or
• Your violation of any applicable law or third-party rights.

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Beagle disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Beagle does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

To the fullest extent permitted by applicable law, Beagle's total liability to you for any claim arising from or related to these Terms or the Platform will not exceed the greater of (a) the total fees paid to you by Beagle in the three months preceding the claim, or (b) one hundred U.S. dollars ($100). In no event will Beagle be liable for indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages.

Either party may end the relationship under these Terms at any time. You may stop using the Platform at any time. Beagle may suspend or terminate your access to the Platform immediately if you violate these Terms, submit fraudulent or inaccurate inspection data, or if continued access is no longer appropriate for operational, legal, quality, or partner compliance reasons.

Upon termination: (a) your right to access the Platform ceases; (b) Beagle will process payment for any inspection work you completed and submitted in good faith prior to termination in accordance with normal payment timelines; and (c) your obligations under Sections 6 (Confidentiality), 9 (Indemnification), and 10 (Limitation of Liability) survive termination.

We may update these Terms from time to time. When we make material changes, we will notify you by email to the address associated with your account and update the "Last updated" date at the top of this page. Continued use of the Platform after a material change takes effect constitutes your acceptance of the revised Terms. If you do not agree to revised Terms, you should stop using the Platform.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Platform that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

Before initiating any formal proceeding, you agree to contact Beagle at operations@beaglelabs.ai and allow 30 days for the parties to attempt to resolve the dispute informally.
